Terms of Service

This document constitutes a public offer pursuant to Article 437 of the Civil Code of the Russian Federation and contains all material terms of the agreement for the provision of services of the Nagovori service.

1. Terms and Definitions

  • Offeror (Service Provider) — ИНДИВИДУАЛЬНЫЙ ПРЕДПРИНИМАТЕЛЬ КОРНАЧУК МАРК ВСЕВОЛОДОВИЧ, INN 772461035002, OGRN/OGRNIP 325774600026938.
  • Acceptor (User, Customer) — an individual aged 18 or over who has accepted the terms of this Offer by registering in the Service.
  • Agreement — a service agreement concluded between the Offeror and the Acceptor on the terms of this Offer from the moment of its acceptance.
  • Services — automated audio transcription services (speech-to-text conversion) and related Service functionality.
  • Personal Account — a personal section of the Service, accessible after registration, for managing the account, balance and transcription history.
  • Balance — the number of prepaid transcription minutes or credits available in the User's account.

2. Subject Matter

The Service Provider undertakes to provide the Customer with automated audio transcription services (converting audio recordings to text) using automatic speech recognition technologies via the Nagovori Service, and the Customer undertakes to accept and pay for the services rendered in accordance with the terms of this Agreement.

  • The Service Provider provides access to the Service via the Internet.
  • Services are provided automatically: the User uploads an audio file, the Service returns the transcription text.
  • Processing may use automated speech recognition models, including those provided by third parties under contract.

3. Acceptance (Conclusion of Agreement)

Full and unconditional acceptance of this Offer and conclusion of the Agreement occurs when the User performs any of the following actions:

  • Registration in the Service by completing the registration form and confirming agreement to the terms of the Offer.
  • Payment for any Service services.
  • Actual use of the Service after registration.

The Agreement is deemed concluded from the moment of acceptance and remains in force indefinitely until terminated in accordance with this Offer. A User who does not agree to the terms of the Offer must immediately cease using the Service.

4. Rights and Obligations of the Service Provider

  • Provide access to the Service and render services in accordance with the terms of the Offer and technical capability.
  • Ensure operation of the Service 24/7, except during scheduled maintenance windows.
  • Notify Users of changes to the Offer terms by publishing a new version on the Service website.
  • Ensure the confidentiality of User data in accordance with the Personal Data Processing Policy.
  • Suspend or terminate access to the Service if the User violates the terms of the Offer without prior notice.
  • Change service tariffs with at least 3 (three) days' notice to Users before changes take effect.

5. Rights and Obligations of the User

  • Use the Service exclusively for lawful purposes, not violating Russian legislation and third-party rights.
  • Not upload audio recordings containing materials prohibited by Russian law (extremism, CSAM, copyright infringement, etc.).
  • Hold all necessary rights and/or consents of persons whose voices are contained in uploaded audio recordings for their processing.
  • Ensure the security of their credentials (login and password) and not transfer them to third parties.
  • Pay for Service services in a timely manner in accordance with current tariffs.
  • Not take actions aimed at disrupting the Service, circumventing technical limitations or gaining unauthorised access.

6. Service Charges and Payment Procedure

  • Current tariffs are published on the Service pricing page and may be changed unilaterally with User notification.
  • New Users are provided with a free trial balance (10 minutes) to get acquainted with the Service capabilities.
  • Services are provided on a prepaid basis: the User tops up the balance or purchases a minutes package before use.
  • Payment is accepted in Russian rubles through payment providers supported by the Service. Bank card details are not transferred to the Service Provider.
  • Minutes are deducted upon successful completion of transcription, rounded up to the next full minute.
  • The Service Provider has the right to generate electronic fiscal receipts in accordance with Federal Law No. 54-FZ On the Use of Cash Register Equipment.

7. Refund Policy

Given the nature of the services rendered (immediate automated execution), the following refund procedure applies:

  • Payments made for minutes packages or balance top-ups are non-refundable, except in cases expressly provided by consumer protection legislation.
  • Unused minute balance is not converted into monetary funds.
  • In the event of Service technical failures resulting in incorrect deduction of minutes, the User has the right to contact support within 14 days. The Service Provider reviews requests and, upon confirming an error, restores the minutes.
  • Monetary refunds are not made upon termination of the Agreement at the initiative of the Service Provider due to the User's violation of the Offer terms.

8. Limitation of Liability

Nagovori uses automated speech recognition technology powered by neural networks. Transcription results are generated automatically.

  • The Service Provider does not guarantee 100% accuracy, completeness or error-free transcription results.
  • The Service Provider is not liable for losses incurred by the User as a result of using transcription results.
  • The Service Provider's aggregate liability under the Agreement is limited to the amount actually paid by the User for Service services over the last 3 months.
  • The Service Provider is not liable for temporary unavailability of the Service due to maintenance, provider failures or force majeure circumstances.
  • The User bears sole responsibility for the legality of uploaded content and having the rights to process it.

9. Force Majeure

The parties are released from liability for partial or complete non-performance of obligations if it resulted from force majeure circumstances, i.e. extraordinary and unavoidable circumstances (natural disasters, military actions, government decisions, large-scale Internet failures, etc.). The party invoking force majeure must notify the other party within a reasonable time.

10. Confidentiality

Processing of User personal data is carried out in accordance with the Personal Data Processing Policy published on the Service website. User content (audio files and transcription results) is confidential and is not used by the Service Provider for purposes other than providing the Services.

11. Term and Termination

  • The Agreement enters into force from the moment of acceptance of the Offer and remains in force indefinitely.
  • The User has the right to withdraw from the Agreement at any time by deleting the account. The unused balance is not refunded.
  • The Service Provider has the right to terminate the Agreement unilaterally in the event of a User's violation of the Offer terms by blocking the account.
  • Termination of the Agreement does not relieve the Parties of obligations arising before its termination.

12. Governing Law and Dispute Resolution

  • This Offer and the relations arising from it are governed by the legislation of the Russian Federation.
  • All disputes and disagreements shall be resolved through negotiations. A pre-trial claims procedure is mandatory: the claim consideration period is 30 (thirty) calendar days.
  • Claims are sent to the email address: support@nagovori.ru.
  • If a dispute cannot be resolved pre-trial, it is referred to the court at the Service Provider's location, unless otherwise provided by consumer protection legislation.

13. Modification of Offer Terms

The Service Provider has the right to unilaterally change the terms of this Offer. Changes are published on the Service website. Continued use of the Service after changes take effect constitutes the User's agreement to the new terms. If the User does not agree to the changes, they must cease using the Service.
